Partner Agreement

Sales Partner Terms

Last updated: May 9, 2026 — applies to all partners accepted into the BrandTalk AI Sales Partner Program ("Program").

1. Independent contractor status

Partner is an independent contractor — not an employee, agent, joint venturer, or franchisee of Global Brand View LLC ("Company"). Partner is responsible for their own taxes, business licenses, and compliance with local laws. Company will issue a 1099-NEC for partners earning over the IRS reporting threshold in any calendar year.

2. What Partner does

Partner introduces BrandTalk AI services (Sage, the AI voice receptionist) to prospective customers, demos the product using tools Company provides, and helps qualified prospects sign up. Partner does not provide technical support, billing administration, or product configuration — those remain Company's responsibilities.

3. Compensation

Close bonus (Hunter spiff): 25% of the customer's first month MRR plus 30% of the customer's setup fee, paid the month after the customer's first successful billing. Annual signups receive an additional 1-month spiff.

Residual (Farmer share): 10% of MRR for every active month the referred customer remains a paying subscriber, while Partner remains active per Section 5.

Payout schedule: Monthly via Stripe direct deposit (or check, on request), on or near the 15th of the following month. Minimum payout threshold: $25.

4. Phone numbers & tools

At signup, Partner receives one (1) free dedicated phone number for prospect demos. Additional phone numbers and bundle tiers (Hustle, Scale, Blitz) become available after Partner's first closed deal. Partner is responsible for any add-on bundle costs they elect.

5. Active status & account reversion

Partner must remain "active" to retain residual payments. Active means: (a) closed at least one deal in the prior 90 days, OR (b) logged into the partner portal in the prior 30 days.

If Partner becomes inactive (90 days no close + 30 days no portal activity), Partner's referred accounts revert to "house" status. Company may continue servicing those accounts in-house (in which case no further commission is paid to Partner) or reassign to another partner at a reduced "broker rate" of 5% MRR. The original Partner does not receive residual on reverted accounts.

Partner can be reactivated at any time by closing a new deal or logging back in; however, previously reverted accounts do not return to the original Partner.

6. Marketing and conduct

Partner will represent BrandTalk AI honestly. Partner will not: make false claims about features or compliance, misrepresent pricing, harass prospects, violate TCPA in their outreach, spam, or engage in deceptive practices. Partner-purchased phone numbers must be used for direct outreach Partner has authorized — no robocalling, no broadcast SMS without TCPA compliance.

Partner may use Company-provided marketing assets (pitch decks, scripts, images) within the Program. Partner may not modify Company logos or product names without written approval.

7. Confidentiality

Partner will keep confidential any non-public information about the Service, customers, pricing arrangements, partner program internals, or Company business — both during and after participation in the Program.

8. Customer ownership

Customers referred by Partner are Company's customers. Partner has no claim to direct customer relationships outside what Section 3 grants. Partner will not solicit Company customers to a competing service during participation in the Program or for 12 months after exit.

9. Termination

Either party may terminate this agreement with 7 days' written notice. Earned but unpaid commissions through the termination date will be paid on the next normal payout cycle. After termination, Partner forfeits any future residuals (treated as full reversion under Section 5). Termination for cause (fraud, material breach, illegal conduct) is immediate and may also forfeit pending unpaid commissions to the extent permitted by law.

10. No exclusivity

Partner is free to sell other products, including competing products. Company is free to recruit other partners in the same territory. There is no territorial exclusivity unless separately agreed in writing.

11. Limitations

Company's total liability to Partner under this agreement is limited to commissions earned in the 12 months preceding any claim. Company is not liable for indirect, consequential, or lost-profit damages.

12. Governing law

This agreement is governed by Nevada law. Disputes resolved in state or federal courts in Clark County, Nevada.

13. Amendments

Company may update this agreement with 30 days' notice. Continued participation after the effective date constitutes acceptance. Partner may terminate per Section 9 if they don't agree.
